(1) The Company is required to issue 250,000 units to UEM on the Listing Date pursuant to the McBride Agreement. Each unit will consist of one Common Share and one share purchase warrant. The figure in the table includes the 250,000 Common Shares to be issued to UEM on the Listing Date pursuant to the McBride Agreement but does not include the 250,000 Common Shares issuable upon the exercise of the warrants to be issued pursuant to the McBride Agreement. Refer to “Mineral Property Acquisitions”.
(2) This figure does not include: (a) the Warrant Shares issuable on exercise of the Warrants; (b) the 840,000 Agent’s Shares issuable to the Agent upon exercise of the Compensation Option; (c) the 420,000 Agent’s Warrant Shares issuable upon exercise of the Agent’s Warrants (assuming the Maximum Offering); or (d) the 650,000 Common Shares reserved for issuance upon the exercise of outstanding options. (3) This figure includes 6,000,000 Common Shares issued at a price of $0.001 per Common Share to directors and officers of the Company on September 30, 2005.
